1. Introduction
Welcome to EntireDigital Solution Pvt. Ltd. (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website and services, including Web Development, WordPress Development, Laravel Development, Core PHP Development, Web Application Development, E-Commerce Development, Website Designing, Logo Designing, PSD to HTML Conversion, Android Apps Development, iOS Apps Development, Native Apps Development, and Hybrid Apps Development.
By accessing our website, requesting a quotation, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Services
We provide IT and digital services as listed on our website. The exact scope, deliverables, timeline, and cost of each project will be defined in a separate proposal, quotation, or agreement mutually signed/agreed upon between the Company and the Client before work begins.
3. Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information/content required for the project
- Review and approve deliverables within the timeframes communicated
- Make payments as per the agreed schedule
- Ensure they have the legal right to use any content, images, logos, or material provided to us for the project
- Not use our services for any unlawful, fraudulent, or harmful purpose
4. Payment Terms
- Project costs, advance payment, and milestone payments will be as mutually agreed in the project quotation/invoice.
- Work will commence only after receipt of the agreed advance payment, unless otherwise stated in writing.
- Delayed payments may result in suspension of ongoing work until dues are cleared.
- All payments are non-refundable once development/design work has commenced, except as otherwise agreed in writing.
- Prices are exclusive of applicable taxes unless stated otherwise.
5. Project Timeline & Delays
- Estimated timelines will be shared at the start of the project. Timelines are estimates and may vary based on project complexity, revisions, or delays in receiving inputs/approvals from the Client.
- The Company is not responsible for delays caused by incomplete information, late feedback, or delayed payments from the Client.
6. Revisions
- A reasonable number of revisions will be offered as per the agreed project scope.
- Additional revisions or changes beyond the agreed scope may incur extra charges, to be communicated in advance.
7. Intellectual Property Rights
- Upon full and final payment, ownership of the final deliverables (source code, design files, etc., as applicable) will be transferred to the Client, unless otherwise agreed.
- Until full payment is received, all intellectual property rights in the work remain with the Company.
- The Company reserves the right to showcase completed projects in its portfolio, website, or marketing materials, unless the Client requests confidentiality in writing.
- Any third-party tools, plugins, themes, licenses, or stock assets used in the project remain subject to their respective licensing terms.
8. Warranties & Support
- We offer bug-fixing/support for a limited period after project delivery, as specified in the project agreement.
- This support does not cover new feature requests, changes in scope, issues arising from third-party updates, or misuse/modification of the delivered work by the Client or a third party.
- Support beyond the agreed period may be chargeable as per our standard rates.
9. Limitation of Liability
- The Company shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business, arising from the use of our services or website.
- Our total liability for any claim arising out of the services shall not exceed the total amount paid by the Client for the specific project in question.
- We do not guarantee uninterrupted or error-free operation of any website, application, or software post-delivery, as this may depend on hosting, third-party services, or external factors beyond our control.
10. Third-Party Services
Our services may involve integration with third-party platforms (e.g., payment gateways, hosting providers, APIs, plugins). We are not responsible for the performance, availability, security, or policies of such third-party services.
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the project and not disclose it to any third party without prior written consent, except as required by law.
12. Termination
- Either party may terminate an ongoing project with written notice, subject to the terms agreed in the project proposal/contract.
- In case of termination by the Client, payment will be due for all work completed up to the termination date.
- The Company reserves the right to terminate services if the Client breaches these Terms or fails to make timely payments.
13. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts.
14. Changes to These Terms
We reserve the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with a revised “Last Updated” date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
